Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("you" or "Subscriber") and NorthStar-Lumen ("NorthStar-Lumen", "we", or "us") — currently operated by its founder as a sole trader pending incorporation — governing your access to and use of Lumen, our pricing advisory platform ("the Service").
By creating an account, starting a free trial, or accessing any part of the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.
These Terms apply only to business users acting in a commercial capacity. The Service is not intended for consumers acting in a personal capacity.
2. Geographic Restrictions
The Service is currently available only to users located in the United States and countries outside the European Economic Area (EEA), United Kingdom, and Switzerland. Registrations from the EEA, UK, or Switzerland are not accepted at this time.
By creating an account, you represent and warrant that you are not located in, and are not a resident or national of, any restricted region listed above. If this changes, you must notify us and cease use of the Service immediately.
3. The Service
Lumen analyzes marketplace data you provide and returns pricing opportunities, recommendations, and explanations to support your business decisions.
Lumen does not automatically change your prices or listings. Every recommendation requires your explicit review and approval. You retain full control over all pricing decisions.
Recommendations are generated from the data available at the time of analysis and disclose a confidence level. The Service is a decision-support tool, not a guarantee of any particular business outcome, profit level, or marketplace performance.
All decisions you make based on, or without following, a Lumen recommendation are your sole responsibility.
4. Accounts
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
One account per business entity. You may not share your account with other individuals or organizations without our written consent. Notify us immediately at support@northstar-lumen.com if you suspect unauthorized access.
5. Subscription, Free Trial, Renewal & Cancellation
5.1 Plans
The Service is offered under the subscription plans listed on our website at the time of purchase. Full access is available through a paid subscription at the price displayed at the time of purchase. Prices may change for future billing periods; any change will not affect a billing period you have already paid for, and renewals occur at the then-current price shown at checkout.
5.2 Free Trial
New accounts receive a standard fourteen (14) day free trial limited to a maximum of 100 ASINs to evaluate the Service. As a special promotional launch offer, accounts created during the month of September 2026 will receive an extended thirty (30) day free trial (also subject to the 100 ASIN limit) to help gather user feedback and optimize the platform. No payment method is required to start a trial. Access stops automatically at the end of the trial unless a paid subscription is activated.
5.3 Merchant of Record
All payments, applicable taxes, invoicing, renewals, and refunds are handled by Paddle.com, NorthStar-Lumen's Merchant of Record and authorized reseller. Applicable taxes are calculated and added at checkout based on your billing location.
For any billing, payment, or refund inquiry, please contact us at support@northstar-lumen.com — a direct Paddle buyer support link will be added here once our Paddle account is live and subscription billing begins.
5.4 Automatic Renewal
Paid subscriptions renew automatically each month at the then-current price, until cancelled. Where required by applicable law, Paddle will provide advance renewal reminders.
5.5 Cancellation
You may cancel your subscription at any time, as easily as you subscribed — via your account settings or by contacting Paddle buyer support. On cancellation, your access to the Service continues until the end of the current paid billing period. You will not be charged for any period after that.
We do not provide partial or pro-rata refunds for the unused portion of a current billing period, except where required by applicable law or Paddle's Refund Policy.
5.6 Upgrades and Downgrades
Plan upgrades take effect immediately and any price difference is calculated on a pro-rata basis by Paddle. Plan downgrades take effect at the start of the next billing period.
5.7 Failed Payments
If a renewal payment fails, Paddle may retry the charge and notify you. If payment cannot be completed after reasonable retries, the subscription may be suspended and access to the Service reduced or removed until payment is resolved.
5.8 Inactive Accounts
When a free trial ends without a subscription being activated, or after a paid subscription is cancelled and the final billing period expires, the account becomes inactive. We retain your account and uploaded data for sixty (60) days, during which you may re-subscribe or export your data. After sixty (60) days, the account and all associated data are permanently deleted. See our Privacy Policy for details.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to violate any applicable law or regulation, including Amazon's Selling Partner policies, Acceptable Use Policy, or Data Protection Policy.
- Attempt to gain unauthorized access to any part of the Service, its servers, or any data of other users.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service.
- Scrape, bulk-export, or systematically extract data from the Service for purposes other than your own business use.
- Resell, sublicense, or otherwise commercialize access to the Service or its outputs without our written consent.
- Use the Service in a way that could damage, disable, overburden, or impair it.
- Share your account credentials with third parties or allow multiple businesses to use a single account.
- Input data you do not have the right to use, including confidential data belonging to third parties.
We reserve the right to suspend or terminate accounts that we reasonably believe are in violation of these provisions.
7. Intellectual Property
7.1 Our Property
NorthStar-Lumen owns all rights, title, and interest in and to the Service, including its software, algorithms, design, trademarks, and documentation. Nothing in these Terms transfers any of those rights to you.
7.2 License to You
Subject to your compliance with these Terms and payment of applicable fees, NorthStar-Lumen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.
7.3 Your Data
You retain full ownership of the marketplace data and other content you upload to the Service. By uploading data, you grant NorthStar-Lumen a limited license to process, store, and analyze that data solely to provide the Service to you.
7.4 Outputs
Pricing recommendations, opportunity analyses, and other outputs generated by the Service based on your data may be used freely by you for your business purposes.
8. Third-Party Services and Data
Your use of Lumen may involve interaction with third-party platforms, including Amazon Seller Central. You are solely responsible for ensuring your use of the Service complies with the terms of any third-party platform, including Amazon's policies on pricing, Minimum Advertised Price (MAP) agreements, and seller conduct.
NorthStar-Lumen is not a party to any agreement between you and Amazon or any supplier. If a third-party recommendation results in a policy violation, that liability rests with you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
NORTHSTAR-LUMEN DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY RECOMMENDATIONS WILL RESULT IN INCREASED SALES, PROFITS, OR BUY BOX WINS; (C) THE DATA OR ANALYSIS PROVIDED WILL BE ACCURATE, COMPLETE, OR TIMELY.
NorthStar-Lumen does not provide financial, investment, legal, or tax advice. All pricing and business decisions remain yours alone.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
NORTHSTAR-LUMEN IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NORTHSTAR-LUMEN'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO NORTHSTAR-LUMEN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless NorthStar-Lumen and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including Amazon's policies or any MAP agreement; or (d) any pricing or listing decision you make.
12. Term and Termination
These Terms remain in effect for as long as you have an account with NorthStar-Lumen.
You may cancel and close your account at any time per Section 5.5. We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or misuse the Service. On termination, your license to use the Service ends and the inactive-account provisions of Section 5.8 apply.
Sections 7.1, 9, 10, 11, 13, and 14 survive termination of these Terms.
13. Governing Law and Disputes
The governing law and jurisdiction for disputes under these Terms will be specified here once NorthStar-Lumen's operating legal entity is established. This section will be completed and published before any subscription payments are collected.
Until that time, you and NorthStar-Lumen agree to attempt to resolve any dispute informally by contacting us at support@northstar-lumen.com before initiating any formal proceeding.
14. General
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NorthStar-Lumen regarding the Service and supersede any prior agreements.
14.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights under these Terms in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
NorthStar-Lumen is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including internet outages, third-party service failures, or acts of government.
14.6 Changes to These Terms
If we make a material change to these Terms, we will update the effective date above and notify active accounts by email at least fourteen (14) days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
